Terms of Service
These Terms of Service (“Terms”) govern your access to and use of the Solu platform operated by Solu Limited, a New Zealand registered company (“Solu”, “we”, “us”). By using Solu you agree to be bound by these Terms. Please read them carefully.

Acceptance of Terms
By creating an account, accessing the Service, or clicking any button indicating agreement, you confirm that:
- You are at least 18 years of age.
- You have the legal capacity to enter into a binding contract under New Zealand law.
- You have read and agree to these Terms and our Privacy Policy.
If you do not agree, you must not access or use the Service.
The Service
Solu provides a digital platform for creating, managing, and sharing end-of-life plans (“Solu Plan”). The Service enables you to:
- Record personal wishes, asset information, and instructions for nominated executors and family contacts.
- Nominate and manage executors, advisors, and family contacts within your plan.
- Trigger the sharing of your plan with nominated contacts at a time of your choosing.
- Store plan documents and attachments securely.
We reserve the right to modify, suspend, or discontinue any feature of the Service at any time, with at least 30 days’ notice for material changes affecting active subscribers.
Accounts & Registration
You must register an account to access the Service. You are responsible for:
- Providing accurate, complete, and current registration information.
- Maintaining the confidentiality of your login credentials. You must not share your password with any third party.
- All activity that occurs under your account, whether authorised by you or not.
- Notifying us immediately at privacy@solu.co.nz if you suspect unauthorised access.
One account is permitted per individual user. Corporate or institutional accounts require a separate written agreement with Solu.
Subscription & Payment
Access to the full Solu platform requires a paid subscription. By subscribing, you agree to the following:
- Billing cycle: Subscriptions are billed monthly or annually in New Zealand dollars (NZD), as selected at checkout.
- Automatic renewal: Subscriptions renew automatically unless cancelled at least 24 hours before the renewal date.
- Payment processing: Payments are processed by Stripe. By providing payment details, you authorise Stripe to charge the applicable fees.
- Price changes: We will notify you of any price changes at least 30 days before the change takes effect. Continued use after that date constitutes acceptance.
- No refunds: Subscription fees are non-refundable except where required by the New Zealand Consumer Guarantees Act 1993 or Fair Trading Act 1986.
If a payment fails and is not resolved within 7 days, your account may be suspended. Plan content is retained for 90 days following suspension, after which it may be permanently deleted.
User Content
You retain full ownership of all content you enter into your Solu Plan (“User Content”). By submitting User Content, you grant Solu a limited, non-exclusive licence to store, process, and transmit that content solely as necessary to operate the Service on your behalf.
You are solely responsible for the accuracy, legality, and appropriateness of your User Content. You warrant that:
- You have the right to provide all information entered into your plan.
- The third-party contact details you provide are accurate and have been entered in good faith for end-of-life planning purposes.
- Your use of the Service does not violate any applicable law, including the Privacy Act 2020 in relation to third-party information you supply.
We do not review, verify, or endorse the content of Solu Plans. We are not responsible for any legal consequences arising from instructions contained in your plan.
Acceptable Use
You must not use the Service to:
- Violate any applicable law, regulation, or third-party right.
- Upload malware, viruses, or any code designed to disrupt or harm the Service or its users.
- Harvest or collect information about other users without their consent.
- Circumvent, disable, or interfere with security features of the Service.
- Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
- Use the Service for any commercial purpose other than managing your own personal end-of-life plan, unless you hold a separate written agreement with Solu.
Breach of these conditions may result in immediate suspension or termination of your account without refund, and may be reported to relevant authorities.
Not Legal, Financial, or Medical Advice
You should obtain independent legal advice from a qualified New Zealand solicitor regarding any estate planning, will, trust, or power of attorney. Solu accepts no liability for any decisions made in reliance on information stored within the Service.
Intellectual Property
All intellectual property in the Service — including software, design, branding, trade marks, and platform architecture — is owned by or licensed to Solu Limited. Nothing in these Terms transfers any intellectual property rights to you.
You are granted a limited, revocable, non-exclusive, non-transferable licence to access and use the Service solely for your own personal end-of-life planning purposes, in accordance with these Terms.
You must not copy, reproduce, distribute, reverse-engineer, or create derivative works from any part of the Service without our prior written consent.
Third-Party Services
The Service integrates with certain third-party providers, including:
- Stripe— payment processing. Use of Stripe is governed by Stripe’s own terms and privacy policy.
- Cloud infrastructure providers — data hosting within the NZ/AU region, subject to data processing agreements with Solu.
- Email delivery services — for transactional notifications and plan sharing triggers.
Solu is not responsible for the acts or omissions of third-party service providers beyond the scope of our written agreements with them. Links to external sites do not constitute endorsement.
Disclaimer & Limitation of Liability
The Service is provided “as is” and “as available” without warranty of any kind, express or implied, to the maximum extent permitted by New Zealand law.
We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components. We are not liable for any loss or corruption of User Content, except where caused by our gross negligence or wilful misconduct.
To the maximum extent permitted by law, Solu’s total liability to you for any claim arising from or related to these Terms or the Service is limited to the total subscription fees paid by you in the 12 months preceding the claim.
Nothing in these Terms limits or excludes our liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded under the Consumer Guarantees Act 1993 or the Fair Trading Act 1986.
Termination
By you: You may cancel your subscription and delete your account at any time through your account settings or by emailing privacy@solu.co.nz. Cancellation takes effect at the end of the current billing period.
By us:We may suspend or terminate your account immediately if you breach these Terms, if we are required to do so by law, or if continued provision of the Service becomes commercially unviable. We will provide at least 30 days’ notice of discontinuation of the Service, except where prohibited by law or in cases of serious breach.
Upon termination, your right to access the Service ceases. Sections 07, 08, 10, and 12 of these Terms survive termination.
Governing Law & Dispute Resolution
These Terms are governed by the laws of New Zealand. You submit to the exclusive jurisdiction of the New Zealand courts for any dispute arising from these Terms or your use of the Service.
Before initiating formal proceedings, both parties agree to attempt good-faith resolution through direct negotiation for at least 30 days. Disputes that cannot be resolved may be referred to mediation in Tāmaki Makaurau / Auckland before litigation.
Changes to These Terms
We may update these Terms from time to time to reflect changes in the Service, applicable law, or our business practices. Material changes will be notified to you by email at least 14 days before they take effect.
Continued use of the Service after the effective date of revised Terms constitutes acceptance of those Terms. If you do not agree to the revised Terms, you must cancel your account before the effective date.
